Any work outside the agreed scope may be treated as additional work and may involve additional fees and timelines.

4. Project Requirements & Client Responsibilities

To successfully deliver a project, clients are responsible for providing accurate and timely information, including where applicable:

  • Content and copy
  • Images, videos, and other media
  • Brand assets
  • Product information
  • Login credentials and access required for development
  • Business and technical requirements
  • Feedback and approvals

Delays in receiving required materials, approvals, feedback, or third-party access may affect the project timeline.

5. Payments & Fees

Project fees, payment schedules, deposits, and applicable taxes will be communicated to the client before work begins.

Unless otherwise agreed in writing:

  • Work may begin after the required initial payment has been received
  • Additional work outside the agreed scope may be billed separately
  • Delayed payments may result in suspension of ongoing work or services
  • Third-party costs, including hosting, domains, paid plugins, applications, APIs, licenses, and other external services, may be charged separately unless explicitly included in the project scope

All applicable taxes and statutory charges are the responsibility of the client unless otherwise agreed.

6. Project Timelines

We make reasonable efforts to meet agreed project timelines. However, delivery dates may depend on factors including timely client feedback, availability of required content and assets, third-party services, API or platform limitations, hosting or infrastructure issues, changes to project requirements, and circumstances outside our reasonable control.

A delay caused by the client or a third party may result in a corresponding adjustment to the project timeline.

7. Revisions & Approvals

The number of revisions included in a project will depend on the agreed scope.

Once a design, feature, page, or deliverable has been approved, significant changes to the approved work may be considered additional work and may incur additional charges.

Clients are responsible for reviewing and approving deliverables within a reasonable timeframe.

8. Third-Party Services & Platforms

Projects may use third-party platforms, tools, APIs, plugins, applications, hosting providers, payment gateways, analytics services, or other external technologies.

Thumbstack is not responsible for:

  • Changes to third-party platforms
  • Third-party outages or service interruptions
  • Changes in pricing or policies
  • API limitations or deprecations
  • Third-party security incidents
  • Losses resulting from third-party service failures

9. Intellectual Property

Unless otherwise agreed in writing, Thumbstack retains ownership of its pre-existing materials, reusable code, frameworks, libraries, tools, processes, methodologies, templates, and internal systems.

Upon receipt of all applicable project payments, ownership or usage rights for the final project deliverables will be transferred to the client according to the agreed project terms.

Third-party assets, fonts, plugins, software, APIs, and open-source components remain subject to their respective licenses.

10. Client-Provided Content

The client is responsible for ensuring that any content, images, logos, trademarks, data, or other materials provided to Thumbstack:

  • Are accurate and lawful
  • Do not infringe third-party rights
  • Have the necessary permissions or licenses for use

The client is responsible for claims arising from unauthorized or unlawful client-provided materials.

11. Website Hosting & Maintenance

If Thumbstack provides hosting, maintenance, support, monitoring, or similar services, those services may be subject to separate terms, pricing, and service-level conditions.

Unless explicitly included in an agreement, ongoing maintenance, hosting, domain renewal, third-party subscriptions, security monitoring, content updates, and post-launch changes are not automatically included in the initial project fee.

12. Security

We take reasonable measures to build and maintain secure digital solutions. However, no website, application, server, or online service can be guaranteed to be completely secure.

Clients are responsible for maintaining appropriate access controls and protecting credentials associated with their accounts and third-party services.

13. Website Availability

We aim to keep our website and services available and functional, but we do not guarantee uninterrupted or error-free availability.

The website may occasionally be unavailable due to maintenance, upgrades, technical issues, hosting problems, or circumstances beyond our reasonable control.

14. Disclaimer

Information published on this website is provided for general informational purposes.

16. Confidentiality

Both parties may receive confidential information during a project.

Each party agrees to take reasonable measures to protect confidential information and use it only for purposes related to the project or business relationship.

Where required, confidentiality obligations may be governed by a separate Non-Disclosure Agreement (NDA).

17. Termination

Either party may terminate a project or service arrangement in accordance with the applicable agreement.

If a project is terminated after work has commenced, the client may be responsible for payment for work completed, approved expenses, third-party costs, and other non-refundable commitments incurred up to the termination date.

Any specific termination and refund conditions agreed in a project contract will take precedence over these general terms.

18. Force Majeure

Thumbstack will not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control.

This may include natural disasters, government actions, internet or infrastructure failures, widespread technical outages, cyber incidents, war, strikes, or other extraordinary events.

19. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our services, business practices, legal requirements, or website functionality.

The updated version will be published on this page with a revised effective date.

20. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of India.

Any disputes arising in connection with these terms or our services shall be subject to the jurisdiction of the courts applicable to the registered office of SKCM Studios OPC Private Limited, unless otherwise agreed in writing.
